You represent and warrant that you have all rights necessary to grant this licence.
Digistar may collect, use, and disclose personal information as described in our Website Privacy Policy and External Privacy Policy, which are incorporated by reference and available at digistar.ai/privacy. By using this website, you consent to Digistar’s handling of personal information in accordance with those policies, including any cross-border transfers to third-party service providers (such as NinjaOne in the United States) as described therein. You may exercise access/correction rights and manage consent as set out in those policies.

Liability Cap. To the fullest extent permitted by law, Digistar’s total cumulative liability arising from or related to this Agreement, the website, or the Content will not exceed CAD $[●] (or, if consideration is payable for access, the fees paid by you for access to the website in the twelve (12) months preceding the event giving rise to the claim), whichever is greater.
Some jurisdictions do not allow limitations on implied warranties or exclusion/limitation of certain damages. To the extent such laws apply, the above exclusions and limitations will apply to the maximum extent permitted.
You agree to indemnify, defend, and hold harmless Digistar, its affiliates, licensors, suppliers, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your Submissions; (b) your use or misuse of the website or the Content; or (c) your breach of this Agreement or violation of third-party rights.
This Agreement is effective until terminated. Digistar may suspend or terminate your access to the website (in whole or in part) at any time, with or without cause or notice, without liability to you. Upon termination, your licence to use the website and Content ceases immediately. Sections that by their nature should survive (including ownership, submissions licence, disclaimers, limitations of liability, indemnity, governing law, and interpretation) will survive termination.
You consent to receive communications from us electronically and agree that all terms, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Digistar may maintain electronic records of your acceptance of this Agreement.
This Article governs (a) features powered by artificial intelligence (“AI Features”) and (b) any tools, plug-ins, scripts, downloads or hosted utilities purchased or accessed through the Site (“Paid Tools”).
1. Description. AI Features may include content/design/code generation, chat assistants, and small development utilities surfaced on the Site or within Paid Tools.
2. No Professional Advice; Use at Own Risk. Outputs are probabilistic and may be incomplete, inaccurate, or unsuitable. Outputs are provided “AS IS” for informational use only and are not legal, financial, medical, engineering, or other professional advice. You are solely responsible for reviewing, testing, and validating any Output before use or reliance.
3. Your Inputs and Outputs.
4. Prohibited Inputs/Uses. You will not use AI Features to submit or generate: (i) personal information of others without lawful consent; (ii) content that infringes IP, privacy, or publicity rights; (iii) Sensitive Personal Information (including health data, full payment card data, government IDs, or biometrics); (iv) unlawful, discriminatory, fraudulent, or harmful content; (v) malware or code intended to damage or gain unauthorized access.
5. Model Providers; Safety Controls. AI Features may rely on third-party model providers and infrastructure. We may apply filters, rate limits, and safety systems, and may suspend or block content to protect users, comply with law, or maintain system integrity.
6. Training & Evaluation. We do not use your User Inputs or Outputs to train generalized foundation models without your express opt-in. Limited use of Inputs/Outputs/logs for debugging, abuse prevention, security, quality evaluation, and delivery of the feature is permitted as described in the Privacy Policy.
7. Third-Party & Open-Source Obligations. If an Output incorporates or interoperates with third-party services, models, data sets, or open-source components, you must comply with the applicable third-party terms and licences. We do not grant any rights under those third-party terms.
8. User Warranties/Indemnity (AI). You represent and warrant that you have all necessary rights in User Inputs, and that your use of AI Features and any Outputs will not infringe or misappropriate third-party rights or violate law. You will defend, indemnify, and hold harmless Digistar, its affiliates and personnel from claims, damages, costs (including reasonable legal fees) arising from your User Inputs or use of the Outputs.
1. Scope & Precedence. Paid Tools may be downloadable or hosted (SaaS). Any tool-specific terms displayed at purchase or installation (“Tool-Specific Terms”) prevail over this Article for that Paid Tool.
2. Downloadable—Licence. Upon payment and compliance with these Terms, Digistar grants a non-exclusive, non-transferable, revocable licence to install and use the Paid Tool up to the number of seats/environments purchased, solely for your internal business purposes. No resale, sublicensing, “as-a-service,” or competitive use.
3. Hosted Utilities (SaaS). Hosted Paid Tools are subscriptions granting access during the subscription term. No software is sold or transferred.
4. Restrictions. You will not: (i) reverse engineer or circumvent technical protections; (ii) remove proprietary notices; (iii) exceed contracted usage limits; (iv) conduct security testing without prior written authorization; (v) use the Paid Tool to build a competing product.
5. Delivery; Requirements. Delivery is by download link or account activation. You are responsible for prerequisites (runtime versions, API keys, browsers). Vendor dependence: certain functionality may depend on third-party APIs or model providers; availability may vary.
6. Support/Updates/EOL. Digistar provides commercially reasonable support and updates for current versions. We may discontinue support for end-of-life versions with reasonable prior notice where practicable.
7. Fees; Taxes; Auto-Renewal. Prices exclude taxes. You authorize charges to your chosen method. Subscriptions auto-renew unless cancelled at least 30 days before term end via account settings or written notice.

9. Takedown; Compliance. We may remove, disable, or refuse any content or integration that (i) infringes rights or (ii) violates law or these Terms, and may suspend access to protect users and systems.
10. Export/Sanctions. You represent you are not prohibited from receiving software/services under Canadian, U.S., or other applicable export/sanctions laws, and will not use or export Paid Tools in violation of such laws.
This Article supplements the Privacy Policy for AI Features. Capitalized terms not defined here have the meanings in the Privacy Policy.

2. Purposes. To deliver AI Features and Outputs; enforce safety/abuse controls; maintain and secure systems; perform quality evaluation/analytics; comply with law and enforce terms.
3. Lawful Basis & Consent (Canada). We rely on your consent when you submit User Inputs or upload files. You may withdraw consent by not using AI Features or by requesting deletion of stored prompts/outputs associated with your account (see Your Rights below).
4. Sensitive Data. Do not submit Sensitive Personal Information (e.g., health, financial account numbers, government IDs, biometrics). If you submit such data, you represent you have obtained all necessary consents and acknowledgements.
1. Processors. We engage vetted model and cloud providers under written data-processing agreements requiring confidentiality, security, breach notice, sub-processor transparency, and deletion on termination.
2. Transfers. AI Data may be processed outside Ontario/Canada (e.g., U.S./EU). Where cross-border transfers occur, we use contractual and organizational safeguards to provide a comparable level of protection in accordance with PIPEDA.
1. Retention. Prompts/Outputs linked to your account are retained for the shorter of 12 months or the period necessary to provide and secure the feature, unless a longer period is required by law or for dispute resolution.
2. Training & Evaluation. We do not use your prompts or outputs to train generalized models without your opt-in. Operational telemetry may be processed to detect abuse, ensure security and reliability, and evaluate feature quality.

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising out of or relating to this Agreement, the website, or the Content. We have required that this Agreement and all related documents be drawn up in English.
Digistar may amend this Agreement at any time by posting an updated version on this website with an updated Effective Date. Your continued access to or use of the website following any amendment constitutes your acceptance of the amended Agreement. If you do not agree to an amendment, you must stop using the website.
Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa; words importing gender include all genders; words importing persons include individuals and legal entities. All monetary amounts are in Canadian dollars (CAD) unless stated otherwise.
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
This Agreement, together with the Website Privacy Policy and External Privacy Policy, constitutes the entire agreement between you and Digistar regarding the website and the Content and supersedes all prior or contemporaneous understandings on that subject. No waiver is effective unless in writing and signed by Digistar. You may not assign this Agreement without Digistar’s prior written consent. Digistar may assign this Agreement without notice.
